General management principles

The INCOTECH cluster operates on the basis of an institutional governance model that combines collegiality, transparency and accountability. The cluster governance model aims to:

  • ensuring the stable operation of the organization;
  • coordination of the activities of participants;
  • support for project activities;
  • compliance with statutory goals and principles.

The cluster is managed on a non-commercial basis and is carried out in accordance with its organizational status.

General management principles

Supreme governing body

The highest governing body of the cluster is the General Meeting of Participants. The powers of the General Meeting include:

  • definition of strategic directions of activity;
  • approval of key decisions regarding cluster development;
  • making decisions regarding membership and general rules of interaction;
  • other powers provided for by statutory documents.

The general meeting ensures the collegial nature of management and representation of the interests of participants.

Governing body

For the operational management of the cluster activities, a governing body. Its main functions include:

  • organization of current cluster activities;
  • coordination of the implementation of projects and initiatives;
  • representing the cluster in interaction with partners and stakeholders;
  • implementation of decisions of the General Meeting.

The format, composition, and powers of the governing body are determined by the cluster's internal documents.

Supervisory and advisory function

To improve the quality of management and expertise, a cluster can form:

  • supervisory authorities;
  • advisory or expert councils;
  • temporary working groups.

Such bodies do not exercise operational management, but can provide recommendations and expert opinions.

Project management

Project activities within INCOTECH are organized according to the principle of project management. For each project:

  • a separate project team is being formed;
  • a responsible party or coordinator is identified;
  • The format of participation of the cluster and participants is agreed upon.

The cluster provides an institutional and coordination framework without interfering in the internal processes of the participants.

Delimitation of liability

INCOTECH:

  • does not assume the functions of managing the participating companies;
  • is not responsible for the commercial activities of participants;
  • does not replace project implementers.

Responsibility for the implementation of specific work and project results lies with the relevant participants in accordance with the agreed arrangements.

Transparency and accountability

The cluster adheres to the principles of transparency in its activities:

  • decisions are made in specified formats;
  • the rules of interaction are clear to the participants;
  • Key information regarding the cluster's activities is open to the extent that it does not conflict with confidentiality requirements.
